Guiacentrada operates as a technology platform that facilitates the connection between investors and developers of real estate projects under the crowdlending (collective financing) model. Guiacentrada is not a financial institution, bank, brokerage firm, or market agent. The services are authorized under CNV Registry No. 847 as a Collective Financing Service Provider, in accordance with Law No. 27,349 on Entrepreneurial Capital Support and its regulatory provisions.

To use the Platform as an investor, you must: • Be over 18 years of age. • Have tax residency in the Argentine Republic or be a foreign investor authorized under current regulations. • Complete the identity verification process (KYC) and provide the required documentation. • Accept the inherent risks of investing in real estate crowdlending, as described in Section 5 of these Terms.

By registering on the Platform, you agree to: • Provide truthful, complete, and up-to-date information. • Maintain the confidentiality of your access credentials. • Immediately notify Guiacentrada of any unauthorized use of your account. • Not create more than one account per individual or legal entity. Guiacentrada reserves the right to suspend or cancel accounts that do not comply with these requirements or that present suspicious activity in accordance with anti-money laundering regulations.

Projects published on the Platform are presented by real estate developers who have passed an evaluation process. Each project includes detailed information about: • Location, characteristics, and construction timeline. • Total amount required and minimum investment amount. • Estimated timeframe and profit distribution conditions. • Legal documentation and applicable permits. Guiacentrada acts as a technology intermediary and does not guarantee the financial results of any project. The decision to invest is the sole responsibility of the user.

Investing in real estate crowdlending projects carries risks, including but not limited to: • Risk of total or partial loss of invested capital. • Risk of delay in project execution. • Illiquidity risk: investments may not be easily transferable. • Risks associated with the Argentine real estate market, including exchange rate and regulatory variations. Guiacentrada does not guarantee specific returns or yields. The profitability scenarios presented are merely illustrative and do not constitute promises of profit.

As a user of the Platform, you agree to: • Use the Platform exclusively for the intended purposes. • Not engage in activities that could damage, disable, or overload the technology infrastructure. • Comply with all applicable laws and regulations, including tax and anti-money laundering regulations. • Not use the Platform for illegal or fraudulent purposes.

All content on the Platform (texts, images, designs, logos, software, and other elements) is the property of Guiacentrada S.R.L. or its licensors and is protected by the intellectual property laws in force in the Argentine Republic (Law 11,723). Reproduction, distribution, or modification of any content without prior written authorization is prohibited.

Guiacentrada shall not be liable for: • Losses arising from investment decisions made by users. • Temporary service interruptions due to maintenance or force majeure. • Content provided by project developers, except in cases where gross negligence by the Platform is demonstrated. • Indirect, incidental, or consequential damages arising from the use of the Platform.

In compliance with Law No. 25,246 and the resolutions of the Financial Information Unit (UIF), Guiacentrada implements due diligence procedures that include: • Identity verification of all users. • Continuous transaction monitoring. • Reporting of suspicious operations to competent authorities. • Record retention for the legally established period.

Any dispute arising in connection with these Terms shall be submitted to the jurisdiction of the Ordinary Commercial Courts of the City of Buenos Aires, Argentina, with the parties waiving any other jurisdiction or venue that may correspond to them.

Guiacentrada reserves the right to modify these Terms at any time. Modifications will be notified to registered users through the Platform or by email at least 15 days prior to their effective date.
